1. Acceptance of Terms

By accessing and using the SD-WAN SaaS Platform ("Service") operated by TechSynergy Corp ("TechSynergy", "we", "us", or "our"), you accept and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

Beta Testing Notice: This platform is currently in beta testing and is not publicly available for general use. These Terms apply to all beta testers and participants.

2. Beta Testing Terms

2.1 Beta Status

You acknowledge and agree that:

• The Service is in beta testing and may contain bugs, errors, and defects
• Features and functionality may change without notice
• Service availability is not guaranteed
• Data may be periodically reset or migrated
• The Service is provided "AS IS" without any warranties

2.2 No Service Level Agreement (SLA)

During the beta period, we do not guarantee any specific uptime or service level. The Service may be unavailable or interrupted at any time for maintenance, updates, or unforeseen issues.

2.3 Feedback and Improvements

As a beta tester, we encourage you to provide feedback, suggestions, and bug reports. Any feedback you provide becomes our property and may be used to improve the Service without compensation.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must create an account. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

3.2 Account Eligibility

4. Use of the Service

You may use the Service for lawful purposes to monitor and manage your SD-WAN infrastructure.

4.2 Prohibited Activities

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to systems or data
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Use automated systems to access the Service without permission
• Transmit viruses, malware, or other harmful code
• Violate any applicable laws or regulations
• Infringe on intellectual property rights

4.3 Multi-Tenant Environment

The Service operates in a multi-tenant environment. You acknowledge that:

• Your data is isolated from other tenants
• You may only access data within your organization
• Attempting to access other tenants' data is strictly prohibited

5. Data and Privacy

5.1 Your Data

You retain ownership of all data you input into the Service. By using the Service, you grant us a license to use, process, and store your data solely for the purpose of providing the Service.

5.2 Data Security

While we implement industry-standard security measures, we cannot guarantee absolute security. You are responsible for maintaining backup copies of critical data.

5.3 Data Backup During Beta

Important: During beta testing, we strongly recommend maintaining independent backup monitoring systems. We are not liable for data loss during the beta period.

5.4 Privacy Policy

Our Privacy Policy governs the collection and use of your personal information. By using the Service, you also agree to our Privacy Policy.

6. Intellectual Property

6.1 Our Rights

The Service and all related intellectual property rights are owned by us. You may not copy, modify, distribute, or create derivative works without our written permission.

You retain all rights to your data and content. We do not claim ownership of any data you input.

6.3 Trademarks

"SD-WAN SaaS Platform" and associated logos are our trademarks. You may not use them without permission.

7. Pricing and Payment

7.1 Beta Pricing

During the beta testing period, access to the Service may be provided at no cost or at a discounted rate. Pricing for the general release version will be announced separately.

7.2 Future Pricing Changes

We reserve the right to change pricing upon general release. Beta testers will be notified of any pricing changes before they take effect.

8. Limitation of Liability

8.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, or data
• Business interruption
• Loss of goodwill
• Network downtime or service interruption
• Failure to detect network issues

8.3 Beta Testing Disclaimer

You expressly acknowledge that the Service is in beta testing and use it at your own risk. We are not liable for any damages resulting from use of the beta Service.

9. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Service
• Violation of these Terms
• Violation of any rights of third parties
• Your data or content

10. Third-Party Services

The Service may integrate with third-party services and SD-WAN providers. We are not responsible for the availability, accuracy, or reliability of third-party services. Your use of third-party services is governed by their respective terms of service.

11. Modifications to the Service

We reserve the right to:

• Modify or discontinue any part of the Service at any time
• Change features and functionality without notice
• Update these Terms periodically
• Perform maintenance that may interrupt service

We will notify you of material changes to these Terms by email or through the Service.

12. Term and Termination

These Terms remain in effect while you use the Service.

12.2 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature.

12.3 Termination by Us

We may terminate your access immediately for:

• Violation of these Terms
• Abuse of the Service
• Non-payment (if applicable)
• Conclusion of beta testing program

12.4 Effect of Termination

Upon termination, your right to use the Service immediately ceases. We will provide a reasonable period for you to export your data, after which we may delete it.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Canada, without regard to conflict of law provisions.

13.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through good faith negotiation. If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts of Canada.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms does not waive our right to enforce it later.

14.4 Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

14.5 Force Majeure

We are not liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet service provider failures.
